General Terms and Conditions of Sale


These general terms and conditions of sale (hereinafter referred to as the “General Terms” or “GTC”) apply to any purchase by a professional (hereinafter referred to as the “Client”) on the CYBER LEADER INSTITUTE website (https://cyberleaderinstitute.com) from CYBER LEADER INSTITUTE, SAS, with a share capital of 2,000 euros, registered with the Toulouse Trade and Companies Register under number 982 816 449, whose registered office is located at 2, rue des Palombes – 31700 BEAUZELLE, represented by Mr. Benoît RIOU and Mr. Mostafa MANSOUR EL ROUBY (hereinafter referred to as the “Trainer”).


These GTC are intended to govern the provision of training services offered by the Trainer to professional Clients via the Website.

They are accessible and printable at any time via a hyperlink available on the Website.


IMPORTANT

Any order of training implies the unconditional acceptance by the Client of these GTC.


Article 1. Definitions

The terms used below have the following meaning in these GTC:


  • “Head Office”: refers to the Trainer’s registered office located at 2, rue des Palombes – 31700 BEAUZELLE.
  • “Client”: refers to the Trainer’s co-contractor who guarantees to have the status of a professional as defined by French law and case law. As such, it is expressly provided that the Client acts for purposes that fall within the scope of its commercial, industrial, artisanal, liberal, or agricultural activity.
  • “Order”: refers to the purchase of a training service by a Client from the Trainer on the Website.
  • “Parties”: refers to both the Trainer and the Client together. In the singular, refers to one of the two Parties.
  • “Training”: refers to all the training available on the Website.
  • “Website”: refers to the Trainer’s website accessible at the following address: https://cyberleaderinstitute.com
  • “Territory”: refers to metropolitan France, the DOM-TOM.

Article 2. Purpose

These GTC govern the sale of training services by the Trainer to professional Clients via the Website.

The Client is clearly informed and acknowledges that the Website is aimed exclusively at professionals.

Consequently, the Client undertakes to subscribe to the training for its professional use.


Article 3. Acceptance of the GTC

The Client undertakes to read carefully these GTC and to accept them expressly before proceeding to the payment of a Training Order placed on the Website with the Trainer.

The GTC are referenced at the bottom of each page of the Website via a link and must be consulted before placing the order.

The Client is invited to read, download, print the GTC and to keep a copy.

The Trainer advises the Client to read the GTC with each new Training Order, the latest version of the GTC applying to any new Training Order.

By clicking on the first button to place the Order and then on the second to confirm said Order, the Client acknowledges having read, understood, and accepted the GTC without limitation or condition.


Article 4. Training Order on the Website

To order a training, the Client must be at least eighteen (18) years old and/or have the legal capacity and be a professional.

The Client will be invited to provide information to identify them by completing the form available on the Website. The asterisk (*) indicates the mandatory fields that must be filled in for the Client’s Order to be processed by the Trainer.

The Client can check on the Website the mode of organization of the execution of the service.

The follow-up of the execution of the training can, if necessary, be carried out using the online follow-up tools of the organization and the dates of the training.

The Client can also contact the Trainer at any time under the conditions set out in Article 15 of these GTC to obtain information on the mode of organization of the Training.

The information provided by the Client to the Trainer during an Order must be complete, accurate, and up-to-date.

The Trainer reserves the right to ask the Client to confirm, by any appropriate means, their identity, eligibility, and the information provided.


Article 5. Training


5.1. Characteristics of the Proposed Training

The Trainer undertakes to present clearly, legibly, and understandably the essential characteristics of the training as well as the mandatory information that the Client must receive under applicable law.

These characteristics and information appear on the training sheets and include the content of the training, the duration of the sessions, the associated services including the provision of meals for some of them.

The Client undertakes to read the information carefully before subscribing to a training on the Website.


5.2. Booking and Ordering Procedure for Training Services

The training is ordered directly on the Website. The Client then receives the necessary steps allowing them to validly attend the proposed Training as well as the implementation conditions of these.


5.2.1. Orders

Once the Training(s) has (have) been selected and placed in the cart, the Client must click on the cart and verify that the content of the ordered training service is correct, particularly regarding the content of the training, the place of its execution as well as the associated services.

The Client will again be invited to verify the content of their Order before validating its content.

The Client can then proceed to the payment of the Training according to the chosen payment method, following the instructions on the Website and providing all necessary information for billing and the execution of the Training.

Any order will result in the payment, upon subscription to the training, of 30% of the total cost of the training, this 30% deposit will condition the consideration of the training order.


5.2.2. Acknowledgement of Receipt

Once all the above steps are completed, a page appears on the Website to acknowledge receipt of the Training Order made by the Client.

A copy of the acknowledgment of receipt of the Order will be sent upon the Client’s request by email, provided that the email address provided through the registration form is correct.

It is specified that the Order summary and the confirmation email can be saved and printed by the Client.


5.2.3. Billing

During the Order process, the Client will be required to enter the necessary information for billing. The asterisk (*) will indicate the mandatory fields to be filled in for the Client’s order to be processed by the Trainer.

The Client must also specify the chosen payment method.

Neither the purchase order established online by the Client nor the acknowledgment of receipt of the Order sent by the Trainer by email constitutes an invoice. Regardless of the ordering or payment method used, the Client will receive the original invoice upon registration of their Training request.


5.3. Order Date

The order date is the date on which the Trainer acknowledges receipt online of the Order.


5.4. Prices

For all training, the Client will find the prices displayed in euros excluding taxes (HT). It is specified here that the company CYBER LEADER INSTITUTE is not subject to VAT.

In any event, the services are understood to be excluding taxes (HT) and if the CYBER LEADER INSTITUTE company were to be subject to VAT, the rate would be passed on to the client.

The indicated prices are valid, except for gross error. The applicable price is the one indicated on the Website on the date the order is placed by the Client.


5.5. Execution of the Training

The Trainer undertakes to organize the Training on the dates planned and mentioned on the site for which the Client has registered.

If the training cannot be implemented, the Client will have the option to cancel their order. They will receive a refund of all amounts paid within fourteen (14) days following the cancellation of the Training.

Any training order must be canceled at least 30 days before the scheduled training date.

If not canceled within this period, the deposit will be retained by the CYBER LEADER INSTITUTE as compensation for the damage caused by the Client’s late cancellation.


Article 6. Payment


6.1. Payment Methods

The Client can pay for their Training online on the Website following the payment methods offered by the Trainer.

The Client guarantees the Trainer that they hold all the necessary authorizations to use the chosen payment method.

The Trainer will take all necessary measures to ensure the security and confidentiality of the data transmitted online in the context of online payment on the Website.

It is specified that all payment information provided on the Website is transmitted to the bank of the Website and is not processed on the Website.


6.2. Payment Date

In the case of a single payment by credit card, the Client’s account will be debited as soon as the Training Order is placed on the Website.

If the Client decides to cancel their Training Order which has become unavailable, the refund will be made in accordance with Article 5.5 of the GTC.


6.3. Payment Refusal

If the bank refuses to debit a card or other means of payment, the Client must contact the Trainer’s Customer Service to pay for the Order by any other valid means of payment accepted by the Trainer.

In case of inability to pay, the Training Order will be automatically canceled.


6.4. Full Payment

Any order must be paid in full no later than the day before the training. If not, the client will not be able to access the scheduled training.


Article 7. Liability

The Trainer’s liability cannot be engaged in case of non-execution or poor execution of contractual obligations attributable to the Client, particularly when entering their Order.

The Trainer’s liability cannot be established for any delay or non-performance, when the cause of the delay or non-performance is linked to a case of force majeure as defined by the case law of the French Courts and Tribunals.
